Terms of Use

1. Introduction

These Terms of Use govern your use of NextPIM, a Product Information Management (PIM) system. By using NextPIM, you agree to be bound by these terms. If you do not agree to these terms, do not use or deploy NextPIM.

2. Repository Access

2.1 Private Repository

NextPIM source code is maintained in a private GitHub repository. Access must be requested and approved by the repository owner. Unauthorized access or distribution of the source code is prohibited.

Permission is hereby granted, free of charge, to any person obtaining a copy of this software and associated documentation files (the "Software"), to deal in the Software without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, and to permit persons to whom the Software is furnished to do so, subject to the following conditions:

3. Disclaimer of Warranties

  • Uninterrupted or error-free operation

You acknowledge that your use of NextPIM is at your sole risk. No advice or information, whether oral or written, obtained from the NextPIM project or its contributors shall create any warranty not expressly stated in these terms.

3.1 Product Information Accuracy

While NextPIM provides tools to manage product information, we make no warranty regarding the accuracy, completeness, or reliability of product data stored, processed, or displayed within the system. Product information is accurate to the best of our ability, but we are not liable for any mistakes, errors, or omissions in product data. Users are solely responsible for:

  • Verifying the accuracy of product information
  • Ensuring data quality and completeness
  • Correcting any errors or inaccuracies
  • Compliance with regulations regarding product information accuracy
  • Any consequences arising from inaccurate or incomplete product data

The system provides tools and features to facilitate data management, but the responsibility for data accuracy rests entirely with the users and administrators of each deployment.

4. Limitation of Liability

To the maximum extent permitted by law, in no event shall the NextPIM project, its contributors, or copyright holders be liable for any:

  • Direct, indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of use
  • Cost of substitute goods or services
  • Damages arising from unauthorized access to or alteration of your data or transmissions

5. Deployment Responsibilities

5.1 System Administration

When deploying NextPIM, you are responsible for:

  • Properly configuring the system for your environment
  • Securing your deployment with appropriate access controls
  • Implementing HTTPS/TLS encryption for production use
  • Regular backups of your database and assets
  • Monitoring system logs and security events
  • Keeping the software updated with security patches
  • Complying with all applicable laws and regulations

5.2 User Management

As the system administrator, you are responsible for:

  • Managing user accounts and access permissions
  • Enforcing password policies and security requirements
  • Handling user data requests (access, deletion, export)
  • Ensuring compliance with data protection regulations
  • Providing appropriate training to users

5.3 Data Protection

You are solely responsible for:

  • All data stored in your NextPIM instance
  • Compliance with GDPR, CCPA, and other privacy regulations
  • Obtaining necessary consents for data processing
  • Implementing data retention and deletion policies
  • Responding to data breaches or security incidents
  • Maintaining audit logs as required by law

6. Acceptable Use

6.1 Prohibited Uses

You agree not to use NextPIM for:

  • Any unlawful purpose or in violation of applicable laws
  • Storing or distributing illegal, harmful, or offensive content
  • Infringing intellectual property rights of others
  • Transmitting malware, viruses, or malicious code
  • Attempting to gain unauthorized access to other systems
  • Interfering with the proper functioning of the software
  • Reverse engineering for malicious purposes

6.2 Compliance

You agree to:

  • Use NextPIM in compliance with all applicable laws and regulations
  • Respect the intellectual property rights of the project and others
  • Not misrepresent your affiliation with the NextPIM project
  • Provide accurate information when contributing to the project

7. Third-Party Dependencies

NextPIM incorporates various open-source libraries and dependencies. Each dependency has its own license terms, which you must comply with. These include but are not limited to:

  • Next.js (MIT License)
  • React (MIT License)
  • Prisma (Apache License 2.0)
  • TypeScript (Apache License 2.0)
  • Tailwind CSS (MIT License)

8. Contributions

8.1 Contributing Code

If you contribute code, documentation, or other materials to NextPIM:

  • You grant the project a perpetual, worldwide, non-exclusive license to use your contributions
  • You represent that you have the right to make such contributions
  • Your contributions will be licensed under the same MIT License
  • You agree to follow the project's contribution guidelines

8.2 Contributor Conduct

Contributors are expected to:

  • Be respectful and professional in all interactions
  • Follow the project's code of conduct (if applicable)
  • Provide constructive feedback and reviews
  • Not submit malicious code or vulnerabilities

9. Intellectual Property

9.1 Trademarks

"NextPIM" and associated logos are the property of the project. You may use the name and logo to refer to the project or indicate compatibility, but not in a way that suggests official endorsement without permission.

9.2 Your Content

You retain all rights to data and content you store in your NextPIM instance. The NextPIM project and its contributors have no rights to or access to your data.

10. Support and Maintenance

NextPIM is provided as-is with no guaranteed support or maintenance:

  • No service level agreements (SLAs) are provided
  • Bug fixes and updates are provided on a best-effort basis
  • Community support is available via GitHub Issues and discussions
  • Professional support may be available from third-party providers
  • You are responsible for your own deployment, updates, and troubleshooting

11. Updates and Modifications

The NextPIM project reserves the right to:

  • Modify, update, or discontinue features at any time
  • Change these Terms of Use with reasonable notice
  • Update the software license or terms for future versions

You are responsible for reviewing these terms periodically. Continued use of NextPIM after changes constitutes acceptance of the modified terms.

12. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to export restrictions and that you are not on any government list of prohibited or restricted parties.

13. Indemnification

You agree to indemnify and hold harmless the NextPIM project, its contributors, and copyright holders from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use or deployment of NextPIM
  • Your violation of these Terms of Use
  • Your violation of any rights of third parties
  • Data breaches or security incidents in your deployment
  • Your failure to comply with applicable laws and regulations

14. Severability

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms of Use, together with the MIT License and Privacy Policy, constitute the entire agreement between you and the NextPIM project concerning your use of the software. These terms supersede any prior agreements or understandings.

If you are using NextPIM on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
